The exemptions provided under other sections act as relief measures to promote reinvestment or specific economic activities.<\/span><\/p>\n<p><b>Capital Asset \u2013 The Core Concept<\/b><\/p>\n<p><span style=\"font-weight: 400;\">The definition of a capital asset is central to the taxation of capital gains. Section 2(14) provides a wide-ranging definition, covering almost every form of property. However, it also specifies certain exclusions. This balance ensures that only genuine capital assets are taxed under the head &#8220;Capital Gains,&#8221; while personal items and certain special assets remain outside its ambit.<\/span><\/p>\n<p><b>Positive List \u2013 Assets Included as Capital Assets<\/b><\/p>\n<p><span style=\"font-weight: 400;\">A capital asset is broadly defined as property of any kind, whether movable or immovable, tangible or intangible. It covers the following in particular:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Rights in or in relation to an Indian company, including rights of management or control. This ensures that not only physical shares but also associated rights are treated as capital assets.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Any property held by a taxpayer, irrespective of whether it is linked to business or profession. However, jewelry, drawings, paintings, sculptures, and other collectibles are not treated as personal effects and continue to be taxed as capital assets.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Agricultural land in a rural area of India. The definition of a rural area is based on population and distance from municipal limits. By excluding rural agricultural land, the law provides relief to farmers and small landholders.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Certain specified bonds, such as special bearer bonds and gold bonds, which have been exempted by notifications.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Gold Deposit Bonds issued under the Gold Deposit Scheme of 1999 and deposit certificates issued under the Gold Monetisation Scheme of 2015.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">The exclusions are designed to prevent undue hardship to individuals by ensuring that personal belongings and rural agricultural holdings are not subjected to capital gains taxation.<\/span><\/p>\n<p><b>Stock-in-Trade and Capital Gains<\/b><\/p>\n<p><span style=\"font-weight: 400;\">One of the most important clarifications under the law is that stock-in-trade does not qualify as a capital asset. A short-term capital asset is one that is held for a period less than the prescribed threshold, while a long-term capital asset is held for a longer duration. The period of holding varies depending on the type of asset, such as immovable property, listed securities, or unlisted shares.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The distinction matters because the tax rates applicable to short-term gains are generally higher, while long-term gains may enjoy lower tax rates or exemptions. Understanding the classification helps taxpayers optimize their tax liability through proper planning.<\/span><\/p>\n<p><b>Transfer of Capital Asset under Section 2(47)<\/b><\/p>\n<p><span style=\"font-weight: 400;\">The chargeability of capital gains depends entirely on the occurrence of a transfer. Section 2(47) defines the term transfer in an inclusive manner, thereby covering not only direct sales but also several other forms of alienation of rights in property.<\/span><\/p>\n<p><b>Transactions Covered as Transfer<\/b><\/p>\n<p><span style=\"font-weight: 400;\">A transfer includes the following:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Sale of a capital asset for consideration. This is the most straightforward form of transfer where ownership changes hands in exchange for money or other consideration.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Exchange of one asset for another. For instance, swapping a piece of land for shares of a company constitutes a transfer.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Relinquishment of an asset. If a person gives up their rights in a property, even without directly selling it, it is treated as a transfer.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Extinguishment of rights in an asset. This includes scenarios where rights are lost or terminated, for example when convertible debentures are converted into equity shares.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Compulsory acquisition of an asset under any law. When the government acquires land for public purposes, the owner is treated as having transferred the property.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Conversion of a capital asset into stock-in-trade. If a person holding land as an investment decides to convert it into business stock for real estate development, such conversion is considered a transfer.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Part performance of a contract. If possession of an immovable property is given to a buyer under section 53A of the Transfer of Property Act, even before the legal transfer deed is executed, it amounts to a transfer for income tax purposes.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Any transaction that has the effect of transferring or enabling the enjoyment of an immovable property, such as through power of attorney arrangements.<\/span><\/li>\n<\/ul>\n<p><b>Transactions Excluded from Transfer<\/b><\/p>\n<p><span style=\"font-weight: 400;\">Certain transactions are specifically excluded to provide relief and prevent hardship. Examples include:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Distribution of assets on the total or partial partition of a Hindu Undivided Family.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Transfer of assets under a gift or will.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Transfer between holding and subsidiary companies under certain conditions.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Amalgamation or demerger of companies where shareholders are issued shares in the new company.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Transfer in the course of a business reorganization of cooperative banks under prescribed conditions.<\/span><\/li>\n<\/ul>\n<p><b>Completion of Transfer<\/b><\/p>\n<p><span style=\"font-weight: 400;\">A transfer is considered complete only when it becomes legally enforceable. For immovable property, execution and registration of the sale deed generally complete the transfer. In case of compulsory acquisition, the date of transfer is considered to be the date when possession is taken by the government or when compensation is received, depending on the circumstances.<\/span><\/p>\n<p><b>Computation of Capital Gains under Section 48<\/b><\/p>\n<p><span style=\"font-weight: 400;\">The computation of capital gains is governed by section 48. The method of computation varies depending on whether the asset is short-term or long-term, but the general formula remains consistent.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The capital gain is computed as:<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Full value of consideration received or accruing<\/span><span style=\"font-weight: 400;\"><br \/>\n<\/span><span style=\"font-weight: 400;\">minus Expenditure incurred wholly and exclusively in connection with the transfer<\/span><span style=\"font-weight: 400;\"><br \/>\n<\/span><span style=\"font-weight: 400;\">minus Cost of acquisition of the asset<\/span><span style=\"font-weight: 400;\"><br \/>\n<\/span><span style=\"font-weight: 400;\">minus Cost of improvement of the asset<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The resulting amount is the capital gain, which may either be short-term or long-term depending on the holding period of the asset.<\/span><\/p>\n<p><b>Short-term and Long-term Capital Gains<\/b><\/p>\n<p><span style=\"font-weight: 400;\">The classification of the gain is based on the period of holding. Short-term capital gains arise from assets held for less than the specified threshold period, while long-term gains arise from assets held beyond that period. Different tax rates apply, with short-term gains generally taxed at higher rates compared to long-term gains which may attract concessional rates or exemptions.<\/span><\/p>\n<p><b>Importance of Period of Holding<\/b><\/p>\n<p><span style=\"font-weight: 400;\">The period of holding determines not only the nature of the gain but also the availability of indexation benefits for long-term assets transferred before July 23, 2024. For immovable property, the period of holding is reckoned from the date of acquisition. For inherited assets, the holding period of the previous owner is also included.<\/span><\/p>\n<p><b>Full Value of Consideration<\/b><\/p>\n<p><span style=\"font-weight: 400;\">The full value of consideration is the starting point in the computation of capital gains. It refers to the amount received or receivable by the transferor for the asset transferred. This amount can be in cash or in kind. In the case of non-cash consideration, the fair market value of the asset received is considered as the full value of consideration.<\/span><\/p>\n<p><b>Fair Market Value in Place of Declared Consideration<\/b><\/p>\n<p><span style=\"font-weight: 400;\">There are specific provisions where the law substitutes the fair market value for the consideration declared by the assessee. For instance, in the case of transfer of immovable property, if the consideration declared is lower than the stamp duty value, the latter is adopted as the full value of consideration under section 50C. Similarly, for shares and securities, fair market value rules under section 50CA may apply.<\/span><\/p>\n<p><b>Not Always Market Value<\/b><\/p>\n<p><span style=\"font-weight: 400;\">It is important to note that full value of consideration does not necessarily mean market value in all cases. Only when the law specifically provides for substitution does fair market value override the actual consideration received.<\/span><\/p>\n<p><b>Expenditure on Transfer<\/b><\/p>\n<p><span style=\"font-weight: 400;\">Expenses incurred wholly and exclusively in connection with the transfer are deductible from the sale consideration. These expenditures reduce the taxable capital gain and are essential for arriving at the net gain.<\/span><\/p>\n<p><b>Common Transfer Expenses<\/b><\/p>\n<p><span style=\"font-weight: 400;\">Examples of expenses that qualify include:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Brokerage or commission paid for finding a buyer.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Stamp duty and registration charges borne by the seller.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Travelling expenses incurred for the purpose of executing the transfer.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Legal expenses incurred to obtain enhanced compensation in the case of compulsory acquisition.<\/span><\/li>\n<\/ul>\n<p><b>Exclusivity of Expenses<\/b><\/p>\n<p><span style=\"font-weight: 400;\">For an expense to qualify as deductible, it must be directly and wholly related to the transfer. General administrative expenses or routine costs of maintaining the asset are not deductible as transfer expenses.<\/span><\/p>\n<p><b>Cost of Acquisition<\/b><\/p>\n<p><span style=\"font-weight: 400;\">The cost of acquisition refers to the price paid for acquiring the asset. It includes not only the purchase price but also any expenses of a capital nature incurred in acquiring the asset or completing the title.<\/span><\/p>\n<p><b>Components of Cost of Acquisition<\/b><\/p>\n<p><span style=\"font-weight: 400;\">The cost of acquisition may include:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Purchase price or consideration paid to acquire the asset.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Expenses incurred for registration, stamp duty, and legal documentation.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Interest on loans taken for acquiring the asset, provided such interest is capitalized and not claimed as a revenue deduction.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">In case of self-generated assets like goodwill, the cost of acquisition may be nil or as prescribed under specific rules.<\/span><\/p>\n<p><b>Cost to Previous Owner<\/b><\/p>\n<p><span style=\"font-weight: 400;\">When an asset is acquired through inheritance, gift, or other specified modes, the cost to the previous owner is deemed to be the cost of acquisition for the current owner. This ensures continuity of taxation across generations and prevents double taxation.<\/span><\/p>\n<p><b>Fair Market Value as on 1 April 2001<\/b><\/p>\n<p><span style=\"font-weight: 400;\">For assets acquired before 1 April 2001, the law permits taxpayers to adopt either the actual cost of acquisition or the fair market value of the asset as on that date, whichever is higher. This provision offers relief in respect of old assets that have appreciated significantly over time.<\/span><\/p>\n<p><b>Cost of Improvement<\/b><\/p>\n<p><span style=\"font-weight: 400;\">The cost of improvement refers to capital expenditure incurred in making additions or alterations to the asset. This includes expenses for construction, renovation, or enhancement of the value of the asset.<\/span><\/p>\n<p><b>Examples of Cost of Improvement<\/b><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Building an additional floor on an existing property.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Substantial renovation of an office building.<\/span><span style=\"font-weight: 400;\">\n<p><\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Expenses incurred to protect or perfect the title of the property.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">Routine repairs or maintenance expenses do not qualify as cost of improvement since they do not enhance the capital value of the asset.<\/span><\/p>\n<p><b>Inherited Assets<\/b><\/p>\n<p><span style=\"font-weight: 400;\">For inherited assets, the cost of improvement incurred by the previous owner is also included in computing the capital gains of the successor. This ensures that all capital expenditures related to the asset are recognized, even if incurred before the current owner acquired it.<\/span><\/p>\n<p><b>Indexation of Cost<\/b><\/p>\n<p><span style=\"font-weight: 400;\">For long-term capital assets transferred before July 23, 2024, the cost of acquisition and cost of improvement can be adjusted using the cost inflation index notified by the government. Indexation provides relief by accounting for inflationary increases in asset prices. However, for transfers on or after July 23, 2024, the indexation benefit has been withdrawn except in certain cases under section 112.<\/span><\/p>\n<p><b>Special Cases in Computation of Capital Gains<\/b><\/p>\n<p><span style=\"font-weight: 400;\">The Income-tax Act lays down general rules for computing capital gains. However, certain assets and transactions require special treatment. These provisions exist to address practical difficulties or to plug loopholes where the general computation method may not reflect the true nature of the gain.<\/span><\/p>\n<p><b>Cost to Previous Owner<\/b><\/p>\n<p><span style=\"font-weight: 400;\">In situations where an asset is acquired without monetary consideration, such as through inheritance, gift, or distribution from a firm, the cost to the previous owner is considered as the cost of acquisition. This ensures continuity of taxation across different holders of the asset.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">For example, if a father purchased land in 1995 and his son inherited it in 2020, the son\u2019s cost of acquisition would be the same as the father\u2019s original cost or the fair market value as on 1 April 2001 if chosen.
