This return must reflect the structure and implications as per the reorganisation order. These companies proposed a group-wide business restructuring to streamline operations, unlock potential for value creation, and ensure better creditor protection. The restructuring aimed at achieving operational efficiency, rationalisation of costs, and synergies in business.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">To achieve this, the companies entered into four interconnected schemes of arrangement and amalgamation involving a total of eleven companies. These included the transferee companies and the following transferor companies:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">DCB Power Ventures Ltd.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Adwetha Cement Holdings Ltd.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Odisha Cement Ltd.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">OCL India Ltd.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Dalmia Cement East Ltd.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Dalmia Bharat Cements Holdings Ltd.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Shri Rangam Securities and Holdings Ltd.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Adhunik Cement Ltd.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Adhunik MSP Cement (Assam) Ltd.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">These schemes were carefully structured and required approval from multiple stakeholders including creditors, shareholders, and regulatory authorities.<\/span><\/p>\n<p><b>Approval of the Schemes by NCLT<\/b><\/p>\n<p><span style=\"font-weight: 400;\">The schemes were approved by the National Company Law Tribunal in two stages. First, the NCLT Guwahati Bench passed orders dated 18 May 2017 and 30 August 2017. Thereafter, the NCLT Chennai Bench issued multiple orders sanctioning the remaining parts of the scheme on dates including 16 October 2017, 20 October 2017, 26 October 2017, 28 December 2017, 10 January 2018, 20 April 2018, and 1 May 2018. The entire scheme reached finality in May 2018.<\/span><\/p>\n<p><b>Legal Issue in the Absence of Enabling Provision<\/b><\/p>\n<p><span style=\"font-weight: 400;\">Despite the approval of the scheme, complications arose during the assessment of income. Since the income tax returns had already been filed by some of the entities prior to the approval of the scheme, the structure reflected in the return no longer matched the post-reorganisation reality.
